These Terms of Service ("Terms") govern access to and use of the websites, applications, telecommunications services, Microsoft Teams integrations, administrative portals, software, APIs, and related products and services offered by BablyBox, LLC d/b/a BablyBox (collectively, the "Services"). These Terms form an agreement between BablyBox, LLC ("BablyBox," "we," "us," or "our") and the person or organization using the Services ("Customer," "you," or "your"). By creating an account, purchasing, installing, authorizing, accessing, or using the Services, you agree to these Terms. If you accept for an organization, you represent that you have authority to bind it.

1. Services

BablyBox provides cloud business communications services that may include business telephone and VoIP service, PSTN calling, telephone numbers, Microsoft Teams integration, call routing, voicemail, queues and automated attendants, messaging, recording or transcription where enabled, analytics, administration, endpoint provisioning, integrations, and related functionality. Features vary by subscription, configuration, geography, provider availability, and law.

2. Accounts and administrators

Customers must maintain accurate account information and protect account credentials. Organization administrators may manage users, numbers, permissions, routing, integrations, recordings, and other settings. An employer or other organization providing your account may exercise administrative control over it.

3. Microsoft and third-party services

BablyBox may interoperate with Microsoft Teams, Microsoft Entra ID, Microsoft Graph, Microsoft 365, Azure, telecommunications carriers, emergency-services providers, cloud providers, and other third parties. Their products remain subject to their own terms. BablyBox and Microsoft are separate entities, and Microsoft does not own or operate BablyBox. BablyBox is not responsible for third-party outages, restrictions, API changes, licensing requirements, or discontinuation except as expressly agreed.

4. Telephone and PSTN service

Voice service may depend on Internet access, electrical power, customer equipment, BablyBox systems, underlying carriers, and other infrastructure. VoIP differs from traditional landline service and may not operate during network, power, equipment, configuration, or provider failures.

5. Telephone numbers and porting

Numbers are subject to availability, regulation, carrier requirements, and numbering rules. BablyBox does not guarantee any particular number. Porting may require evidence of authorization and is subject to applicable procedures. Customers may not attempt unauthorized ports or obstruct lawful porting requests. See our Number Porting Policy.

6. Emergency calling

Important 911 noticeVoIP emergency calling can operate differently from traditional telephone service. Customers must read the separate Emergency Calling Disclosure and complete any required acknowledgment and registered-location steps.

Emergency calling may be unavailable or impaired during power or Internet outages, network or equipment failures, service suspension, misconfiguration, use from an unregistered location, inaccurate location information, third-party failure, or other circumstances outside reasonable control. Customers must keep required emergency-location information accurate and should maintain an alternative means of contacting emergency services.

7. Acceptable use

Customers must comply with the Acceptable Use Policy. Prohibited uses include unlawful robocalling, spam, fraud, unlawful caller-ID manipulation, harassment, phishing, artificial traffic generation, unauthorized access, security circumvention, and violations of telecommunications, consumer-protection, privacy, or marketing laws.

8. Recording, monitoring, and transcription

Where BablyBox provides recording, monitoring, or transcription features, the Customer is responsible for determining whether use is lawful, providing required notices, obtaining required consent, controlling access, and establishing appropriate retention. Availability of a feature is not a representation that its use is lawful in every jurisdiction. See our Call Recording Notice.

9. Customer data

As between BablyBox and Customer, Customer retains its rights in Customer Data. Customer authorizes BablyBox to process Customer Data as necessary to provide, route, secure, support, maintain, bill for, and improve the Services; prevent fraud and abuse; satisfy legal obligations; and perform activities described in our Privacy Policy. BablyBox does not acquire ownership of communications merely because they pass through the Services.

10. CPNI and telecommunications information

Where applicable, BablyBox handles Customer Proprietary Network Information (CPNI) and other protected telecommunications information in accordance with applicable law and maintains procedures governing authorized access, use, disclosure, authentication, and compliance.

11. Security

BablyBox maintains reasonable administrative, technical, and organizational safeguards designed to protect information under its control. No Internet-connected system can be guaranteed completely secure or continuously available. Customers are responsible for security of their Microsoft tenants, administrator accounts, authentication methods, devices, networks, endpoints, and third-party integrations.

12. Fees, billing, taxes, and regulatory charges

Paid Services are subject to pricing and billing terms presented at purchase or in an applicable order. Charges may include subscriptions, licenses, numbers, usage, calling, messaging, hardware, optional features, taxes, governmental assessments, regulatory charges, and surcharges. Except where required by law or expressly stated otherwise, incurred charges are nonrefundable.

13. Service availability

BablyBox does not guarantee uninterrupted or error-free service except as expressly stated in a separate service-level agreement. Maintenance, Internet connectivity, carriers, Microsoft services, cloud infrastructure, electrical outages, attacks, disasters, governmental action, and other events may affect availability.

14. Intellectual property

BablyBox and its licensors retain rights in the BablyBox platform, software, designs, trademarks, logos, documentation, APIs, and related intellectual property, excluding Customer Data. These Terms grant only the limited right to use the Services during the applicable subscription.

15. Suspension and termination

BablyBox may suspend or restrict Services where reasonably necessary due to nonpayment, fraud, unlawful activity, security threats, material breach, telecommunications abuse, risk to networks or customers, carrier requirements, legal requirements, or emergencies. Where reasonable and lawful, BablyBox will attempt to provide notice. Termination does not eliminate obligations or charges incurred before termination.

16. Confidentiality

Each party will use reasonable measures to protect nonpublic confidential information received from the other and use it for purposes related to the Services, except where disclosure is authorized or legally required.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
